Role Overview
We are seeking a highly skilled and experienced Senior Associate to join our Corporate and Commercial Department. The ideal candidate will have a proven track record advising on complex corporate and commercial matters, including M&A transactions, joint ventures, corporate restructurings, and commercial contracts in the UAE and wider GCC region. This role involves working closely with partners, leading client engagements, mentoring junior associates, and contributing to business development initiatives.
Key Responsibilities
  • Lead and manage corporate and commercial transactions, including M&A, joint ventures, and restructurings.
  • Draft, review, and negotiate contracts and transaction documents.
  • Advise clients on corporate governance, regulatory compliance, and due diligence processes.
  • Liaise with government authorities and regulators to ensure approvals for corporate and commercial matters.
  • Manage client relationships and act as a primary point of contact for corporate and commercial engagements.
  • Supervise, mentor, and review work of junior associates and trainees.
  • Collaborate with partners to identify and pursue business development opportunities within corporate and commercial practice.
  • Stay updated with relevant laws, regulations, and market trends impacting corporate and commercial transactions.
Requirements
  • Bachelor’s degree in law (LLB); master’s degree (LLM) preferred.
  • Bilingual in Arabic and English, with preference for spoken Arabic proficiency.
  • 7-10 years post-qualification experience in corporate and commercial law, preferably within a leading UAE or GCC law firm.
  • Strong drafting, negotiation, and advisory skills.
  • In-depth knowledge of UAE Companies Law, DIFC/ADGM regulations, and cross-border transaction structuring.
  • Proven ability to manage multiple high-value transactions simultaneously.
  • Excellent interpersonal skills and ability to build long-term client relationships.
  • Strong leadership capabilities, with experience supervising and mentoring legal teams.
